    Beneficial Owner

    A beneficial owner is the natural person who ultimately owns or controls a company, regardless of the legal ownership structure on paper.

    UK regulated firms must identify beneficial owners as part of customer due diligence — typically anyone holding more than 25% of shares or voting rights, or who otherwise exercises significant control. For trusts, the beneficial owners are the settlor, trustees, beneficiaries, and any other person controlling the trust. The beneficial ownership thread can be deep — multiple holding companies, nominee arrangements, trust layers — and the regulated firm must follow it until natural persons are identified.
