LLP
A Limited Liability Partnership (LLP) is a UK business structure that combines the flexibility of a partnership with the limited liability of a company — partners are not personally liable for the LLP's debts beyond their capital.
Used predominantly by professional services firms (accountants, lawyers, architects), an LLP files annual accounts and a confirmation statement at Companies House like a company, but is tax-transparent — profits are taxed on the individual members through Self Assessment, not at entity level. The members' agreement (private, not filed) governs profit shares, decision rights, and admission of new members.
