    Glossary

    Limited Company

A UK limited company is a separate legal entity whose owners (shareholders) have liability limited to the unpaid amount on their shares — the company's debts are not the shareholders' personal debts.

Limited companies are incorporated at Companies House (typically as private companies limited by shares — "Ltd"). They pay Corporation Tax on profits, file annual accounts and a confirmation statement, and must follow the Companies Act 2006. The administrative burden is heavier than for a sole trader, but limited liability, the ability to issue shares, and tax efficiency at higher profit levels usually outweigh it once a business is established.
