Articles of Association
A UK company's Articles of Association are the constitutional document setting out the internal rules of how the company is run — director appointments, shareholder rights, share transfers, dividends, decision-making procedures.
Every UK company must have Articles. Most adopt the Model Articles (the default template in the Companies (Model Articles) Regulations 2008) at incorporation — they're fit for most one or two-shareholder companies. Bespoke Articles become essential when there are multiple investor classes, complex governance, or vesting arrangements. Articles are filed publicly at Companies House; changing them requires a special resolution (75% shareholder vote) and Companies House notification within 15 days.
