    Memorandum of Association

    A Memorandum of Association is the historical document by which the original subscribers agreed to form a UK company and take at least one share each — under modern company law it has been reduced to a simple statement filed at incorporation.

    Pre-2009 the Memorandum was a substantive constitutional document setting out the company's objects, share structure, and liability arrangements. Since the Companies Act 2006 came into force, those provisions all moved to the Articles of Association — the Memorandum is now a one-page declaration. Newer companies don't even file the Memorandum after incorporation; older companies still have theirs on the public register but it has limited practical effect.
