    EMI Scheme

    The Enterprise Management Incentive (EMI) is a UK tax-advantaged share option scheme for SMEs that lets companies grant employees options over up to £250,000 of shares each, with favourable Income Tax and CGT treatment.

    To qualify, the company must have gross assets under £30 million, fewer than 250 employees, an independent (not 50%+ owned by another company) qualifying trade, and a UK permanent establishment. Employees pay no Income Tax or NIC on exercise (provided the exercise price equals market value at grant), and gains on sale qualify for BADR if held for 24+ months. Most VC-funded UK startups use EMI as the default employee share scheme.
