    Statement of Work (SoW) template

    A Statement of Work template for UK service contracts — the document that converts a proposal into an executable scope agreement.

    Who it’s for: Account managers, professional-services leads, and consultants

    How to use

    Follow these steps

    1. Parties and effective date

      Full legal names, addresses, the effective date of the SoW, and reference to the underlying Master Services Agreement (if any).

    2. Scope of work

      Specific, measurable deliverables. Avoid vague ''provide consulting services''. Use lists with one deliverable per line.

    3. Out of scope

      Equally important — what''s NOT included. Avoid scope creep later by being explicit upfront.

    4. Deliverables and acceptance criteria

      Each deliverable: what it is, format (document / software / training), how acceptance is determined.

    5. Timeline and milestones

      Key dates, dependencies on client input, payment-tied milestones.

    6. Fees and payment terms

      Total fee, breakdown by phase or milestone, payment due dates, expense policy, VAT treatment.

    7. Change control

      How scope changes are agreed in writing (Change Request form), how rates are calculated for additional work, and who signs off.

    8. Signatures

      One authorised signer per party. Date. Counterparts allowed. PDF / e-signature acceptable.
