    Due Diligence

    Due diligence is the structured investigation a buyer carries out on a target business before acquisition to verify its financial, legal, commercial, and operational position.

    Typical UK SME due diligence covers financial (audited accounts, management accounts, debtors, creditors, tax compliance), legal (contracts, employment, IP, disputes), commercial (customer concentration, churn, pipeline), tax (historical CT/VAT/PAYE compliance), and IT/operational (systems, key staff, dependencies). It is normally conducted by the buyer's accountants and lawyers under an NDA, typically lasting 4-12 weeks depending on deal size and complexity.
