Confirmation statement: what it is and when to file
A UK company's confirmation statement is a Companies House filing made at least once every 12 months, confirming that the public record of the company is accurate. The fee is small but missing it can lead to the company being struck off — losing the trading name and any value built into it.
Companies House filing deadlines and penalties
UK companies have two main annual filing deadlines: the confirmation statement (within 14 days of the confirmation date) and annual accounts (9 months after the accounting period end for private companies). Late accounts trigger automatic penalties of £150-£1,500; the confirmation statement is enforced via reminders and ultimate strike-off.
PSC register: who counts as a Person of Significant Control
A Person of Significant Control (PSC) is anyone who ultimately owns or controls more than 25% of a UK company shares or voting rights, or who otherwise exercises significant influence. UK companies must maintain a PSC register internally and file PSC information at Companies House. Changes must be updated within 14 days. Failing to maintain the register is a criminal offence.
Companies House identity verification: what UK directors must do
From autumn 2025, every UK director and Person of Significant Control must verify their identity at Companies House. Verification is done through GOV.UK One Login or through an Authorised Corporate Service Provider. New appointees must verify before they can act as a director. Existing directors and PSCs have until autumn 2026 to verify or face penalties.
